Job Title:
ContractsAssociate
Purpose of the job:
Provides
proactive, efficient and confidential legal support to the Elsevier's
Technology and Procurement teams by:
(a)
reviewing and, where necessary, drafting various contractual documentation
including Work Orders, Statements of Work and service contracts;
(b)
ensuring that contractual documentation complies to applicable law and Elsevier
and RELX policies; (c) recognizing and escalating matters that create
significant risk to the business. Has strong knowledge of legal concepts,
practices, and procedures and experience working with a variety of commercial
contracts. Works closely with the Contracts Manager and under the supervision
of a senior lawyer.
Key Result Area:
Contractualpreparation, drafting and negotiation :
Summarizing legal documents. Drafting
legal documentation, including preparing contracts from standard templates,
inserting legal sentences and drafting contractual provisions in accordance
with guidance from the Contracts Manager or a senior lawyer. Proof reading
legal documents for sense, consistency, logical order, grammar, typographical
errors, cross-references and adherence to document templates, including
formatting, and preparing documents for signature. Reviewing clauses across a
number of different templates and updating templates where needed.
Communication:
Ensuring that important issues or material risks are
escalated to the Associate General Counsel for Technology & Procurement or
a senior lawyer in the Technology & Procurement Hub. Communicating
prolifically with business stakeholders to ensure that contractual
documentation meets business needs, and so that colleagues are kept up to date.
Administration
Assisting in the preparation of monthly legal reports and
logging of statistics regarding turnaround times and contract volume.
Projects
Taking responsibility for ad hoc projects in the legal team
from time to time.
