About Company Secretariat
Fidelity’s Company Secretariat team in Luxembourg is part of FIL’s Commercial and Governance Legal team which services all aspects of FIL’s mutual fund, institutional and investment businesses.
The role of Fidelity’s Company Secretariat is to provide high quality, value-add professional company secretarial/governance services, which comply with all legal and regulatory requirements, to business partners, FIL corporate entities and managed funds.
Purpose of your role
This role will be an excellent opportunity for someone with at least 7 years relevant company secretarial experience. Reporting to the Head of Luxembourg Company Secretariat, the job holder will have the responsibility of providing governance advisory and company secretarial services to ensure the correct operation of the Luxembourg-domiciled funds and companies within Luxembourg law and regulations, and to enhance the corporate governance framework in an efficient and effective manner.
The role will also involve working closely with other FIL departments in Europe, Asia and Bermuda including legal, fund accounting, compliance, finance and product development, as well as external advisers including auditors and legal advisers.
Enabler of Board-level governance for FIL’s managed funds and companies, which includes:
Facilitating Board and Board Committee activities and Board/Board Committee-level decision making
Acting as a primary point of contact and source of advice and guidance for directors as regards the relevant entities and their activities in order to support the decision-making process.
Advising directors and officers on their duties, relevant company law, the constitution, governance codes and other regulatory and statutory requirements and obligations.
Supporting the relevant Chair(s) in the setting of agendas, co-ordinating and preparing information to Boards and Board Committees and advising on Board procedures.
Organising and attending all relevant Board and Board Committee meetings.
preparing minutes of Board and Board Committee meetings.
ensuring that decisions taken by the Boards and their Committees are communicated to management in a timely manner and that all consequential actions are taken as required.
Monitoring management’s compliance with standing delegations from the Board and reporting any breaches.
acting as governance advisor to Boards and their Committees.
facilitating the Board and Board Committee appointment and succession planning processes, including induction and training.
facilitating Board and Board Committee assessment and effectiveness reviews and working with the Chair and executive management to implement changes resulting from the evaluation recommendations.
Maintenance of the companies’ books and records
Ensuring corporate registrations and filings are carried out within the required timelines
Experience and Qualifications Required
Very strong business English skills
7 years relevant company secretarial experience (or equivalent)
Ability to work with a high degree of autonomy whilst being a strong team player
Excellent attention to detail
Strong delivery focus and “can do” attitude
Knowledge of local laws and regulations
Experience of the Luxembourg mutual f und business would be an advantage
Excellent communication skills
Ability to manage multiple priorities and be resilient
French and/or German an advantage
