The Role
Proofpoint is the fastest growing publicly listed cyber security firm globally (multiple Gartner MQ and Forrester Wave leader), protecting Social Media, Cloud applications, Mobile Apps and Email channels.
Proofpoint Legal is seeking an experienced lawyer to develop and lead the EMEA legal function at the Company.
The Proofpoint Legal Department is dedicated to providing expert legal advice in a fast-paced business environment. This position will report directly to the VP & General Counsel. This role is crucial to building the culture and success of the legal function to help drive Proofpoint’s growth. The position will initially be an individual contributor on a close-knit legal team who will work with peers, colleagues and other legal staff to develop our EMEA legal processes. The position will also manage external legal resources including one (1) contractor who assists with commercial overflow. The successful candidate will be comfortable leading the Proofpoint team on a deal, interacting with internal and external executives, and making quick decisions that comply with company policy and strategy. The position is located in our EMEA Headquarters in Reading, England but also requires some coverage of EMEA and APJ business hours. The position requires a consistent presence in the applicable office, and occasional travel to the California headquarters.
Your day-to-day
+ Provide primary legal support for commercial transactions and enhancement of templates and forms, including drafting, reviewing and negotiating a broad range of commercial agreements, including SaaS, channel, licensing, service and operational agreements (~70%)
+ Provide general legal support to EMEA executive team on a variety of legal matters, including primarily human resources matters (~15%)
+ Drive development and implementation of various legal templates, forms, communications and operational systems to improve the delivery and scalability of legal resources to a worldwide, distributed client base by working collaboratively with other legal team members (~5%)
+ Provide legal analyses of applicable laws, regulations and industry guidance that impact product development, operations and commercial agreements, and assist in the design and implementation of appropriate policies to ensure compliance, especially with respect to data protection and privacy. (~5%)
+ Proactively communicate issues back to management and drive good business, legal and operational processes throughout the organization; drafting and implementing related policies; travel as requested (~5%)
What you bring to the team
The successful candidate will be a highly collaborative, strategic and quick-witted individual with meaningful experience in the following areas:
+ Experience with commercial transactions with Fortune 1000 companies, and Channel (VAR, OEM, SI, etc.) programs and relationships required
+ General experience in a broad range of legal issues (especially those related to data protection, security and SaaS) required
+ Excellent negotiation skills, including “soft” skills to encourage, motivate and influence at all levels of the organization and of our customers and partners
+ Strong drafting skills with keen attention to detail and the ability to develop new forms and work off of other party’s paper
+ Effective communication in person, in groups, over email and in more formal documentation
+ A practical, creative and proactive problem-solver who is confident and calm under fire and a strong team player
+ Highest degree of personal and professional integrity and ethics
+ Substantial experience as an attorney, with previous in-house experience preferred
+ Law firm experience preferred, especially in business transactions, litigation, intellectual property and/or licensing
+ Excellent academic performance
